PRELIMINARY INFORMATION:

The Healthy at NBCU “Go Healthy” Sweepstakes (“Sweepstakes”) will begin on January 24, 2011 at 12:00 a.m. ET and end on February 6, 2011 at 11:59 p.m. ET (“Sweepstakes Period”). All times in the Sweepstakes refer to Eastern Time (“ET”). Odds of winning depend upon the number of eligible Entries (as defined below) received. Sweepstakes is subject to all applicable federal, state and local laws.

ELIGIBILITY:
The Sweepstakes is open only to the named recipient(s) of the Sweepstakes email invitation (“Invitation”), who must also be (a) employed by the agency or company in which the Invitation was sent at time of entry, and if chosen as a winner, at time of prize awarding; (b) permanent, legal U.S. residents who are physically residing in one (1) of the forty-eight (48) continental United States or the District of Columbia (excluding Alaska, Hawaii, Puerto Rico, Guam, the U.S. Virgin Islands and other United States territories), and who are eighteen (18) years of age or older as of the start of the Sweepstakes Period (“Entrant”). Officers, directors, and employees of Sweepstakes Entities (as defined below), members of these persons’ immediate families (spouses and/or parents, children, and siblings, and their spouses, regardless of where they reside), and/or persons living in the same households as these persons (whether or not related thereto) are not eligible to enter or win the Sweepstakes. Sweepstakes Entities, as referenced herein, shall include Integrated Sales & Marketing Group, a division of NBC Universal, Inc., 75 Rockefeller Plaza, New York, New York 10112 (the “Sponsor”), and The National Sweepstakes Company, 693 East Avenue, Rochester, New York 14607 (the “Independent Administrator”), and their respective parent, subsidiary, and affiliate companies, and their administrative agencies and any other entity involved in the development, administration, promotion, or implementation of the Sweepstakes.

TO ENTER:
After receiving an Invitation, click on the hyperlink found within the invitation during the Sweepstakes Period to be automatically directed to the online “Spot the Difference” game (“Game”). Then, read the simple directions and click the “Play” button to begin playing. There are three (3) levels in the Game. For each level, two (2) pictures will appear on the Game screen. To play the game, click an area on one of the two (2) pictures provided, that appears different from the other picture. For example: If the umbrella in the picture on the right side of the screen is red, and the umbrella in the picture on the left side of the screen is blue, click on one of the two (2) different umbrellas to “spot the difference”. If you have correctly identified a difference, the counter found at the bottom right hand side of the Game will so indicate and the area in which you found the difference will become identical in both photos. When you have spotted all of the differences in the photos for a level, you will advance to additional levels for purposes of game play only, and will not be afforded additional entries into the Sweepstakes. Once you have either completed all three (3) levels and finished playing the Game or if you run out of time in any given level, you will be directed to complete the official online entry form in its entirety including your first name, last name, email address and agency/company (“Entry”). Upon clicking the “submit” button, you will receive one (1) Entry into the Sweepstakes. All Entrants who complete the official entry form will earn one (1) Entry into the Sweepstakes, regardless of whether he/she has played the Game or has not played the Game, and regardless of the number of differences he/she may have spotted while playing the Game. NOTE: Entrants may bypass the game and enter the Sweepstakes only by allowing the time to run out in the first level and following the “Skip Ahead” link to complete the official entry form. All Entries become the property of Sponsor, and will not be acknowledged.

Entries must be received before February 6, 2011 at 11:59 pm ET to be eligible for the Sweepstakes. Sponsor’s computer shall be the official timekeeper for all matters related to this Sweepstakes. You may enter once during the Sweepstakes Period. Multiple Entries received from any person or email address beyond this limit will void all such additional Entries. Entries generated by a script, macro, or other automated means will be disqualified. Entries that are incomplete, garbled, corrupted, or unintelligible for any reason, including, but not limited to, computer or network malfunction or congestion, are void and will not be accepted. In case of a dispute over the identity of an Entrant, the authorized account holder of the email address used to enter will be deemed to be the Entrant. “Authorized account holder” is defined as the person who is assigned to an email address by an Internet access provider, online service provider or other organization that is responsible for assigning email addresses for the domain associated with the submitted email address.  Entry constitutes permission (except where prohibited by law) to use Entrant’s name, city, state, likeness, image, and/or voice for purposes of advertising, promotion, and publicity in any and all media now or hereafter known, throughout the world in perpetuity, without additional compensation, notification, permission, or approval.

WINNER SELECTION AND NOTIFICATION:
On or about February 18, 2011 (“Drawing Date”), five (5) potential First Prize Winners (as defined below) and ten (10) potential Second Prize Winners (as defined below) will be selected in a random drawing conducted by the Independent Administrator from all eligible Entries received during the Sweepstakes Period. On or about the Drawing Date, fifty (50) potential Third Prize Winners (as defined below) will be determined based upon the first fifty (50) Entrants who submitted an eligible entry via the official entry form during the Sweepstakes Period. Sponsor’s computer shall be the official timekeeper for all matters related to this Sweepstakes. First Prize Winners, Second Prize Winners and Third Prize Winners shall be collectively referred to as “Winners.” Independent Administrator will make two (2) attempts to notify potential Winners at the email address submitted at the time of entry (“Prize Notification”). Potential Winners may be required to execute and return an affidavit of eligibility, release of liability, and, except where prohibited, publicity release (collectively, “Sweepstakes Documents”) within five (5) days of such Prize Notification as will be determined by Sponsor in its sole discretion. Noncompliance within this time period will result in disqualification and at Sponsors’ sole discretion alternate potential Winners may be selected from the remaining eligible Entries. If potential Winners cannot be reached, are found to be ineligible, cannot or does not comply with these Official Rules, or if prize or Prize Notification is returned as undeliverable, such potential Winners will be disqualified and time permitting, at Sponsor’s sole discretion, alternate potential Winners may be selected from the remaining eligible Entries received during the Sweepstakes Period. Limit one (1) prize per family or household.

PRIZES:
First Prizes: There will be five (5) first prizes (each a “First Prize”) awarded to five (5) first prize winners (“First Prize Winners”). Each First Prize will consist of a “Nintendo Wii™ Prize Package”, including; (a) one (1) Nintendo Wii™ Hardware Bundle [with Wii™ console, Wii Remote Plus™ controller, Wii Nunchuck™ controller, Wii Sports Resort, and Wii Sports™]; (b) one (1) Wii Fit™ Plus with Balance Board; (c) one (1) Wii Fit™ Workout kit; and (d) one (1) The Biggest Loser Game for Wii. First Prize will be awarded “as is” with no warranty or guarantee, either express or implied by Sponsor. The ERV of each First Prize is three hundred and forty dollars ($340). The ERV of all First Prizes is one thousand, seven hundred dollars ($1,700).

Second Prizes: There will be ten (10) second prizes (each a “Second Prize”) awarded to ten (10) second prize winners (“Second Prize Winners”). Each Second Prize will consist of one (1) P90X® Extreme Home Fitness Workout Program [with twelve (12) DVDs, Nutrition Guide and Exercise Planner]. Second Prize will be awarded “as is” with no warranty or guarantee, either express or implied by Sponsor. The ERV of each Second Prize is one hundred and thirty nine dollars ($139). The ERV of all Second Prizes is one thousand, three hundred and ninety dollars ($1,390).

Third Prizes: There will be fifty (50) third prizes (each a “Third Prize”) awarded to fifty (50) third prize winners (“Third Prize Winners”). Each Third Prize will consist of one (1) Shake Weight® Dumbbell [includes Third Prize Winner’s choice of either the unisex Shake Weight® Dumbbell or Shake Weight® Dumbbell for Men]. Second Prize will be awarded “as is” with no warranty or guarantee, either express or implied by Sponsor. The maximum ERV of each Second Prize is twenty nine dollars ($29). The maximum ERV of all Second Prizes is one thousand, four hundred and fifty dollars ($1,450).

First Prizes, Second Prizes and Third Prizes shall be collectively referred to as “Prizes.” ERV of all Prizes is four thousand, five hundred and forty dollars ($4,540).

Sponsor will determine all details of a Prize in their sole discretion. Sponsor reserves the right to substitute a similar Prize (or Prize element) of comparable or greater value. All taxes and other expenses, costs, or fees associated with the acceptance and/or use of a Prize are the sole responsibility of Winners. A Prize cannot be transferred by Winners or redeemed for cash and is valid only for the items detailed above, with no substitution of a Prize by Winners. If a Prize is unclaimed within a reasonable time after notification from Sponsor, as determined by Sponsor in its sole discretion, it will be forfeited, and time permitting, alternate Winners may be selected from the remaining eligible Entries at Sponsor’s sole discretion.

CONDITIONS:
By entering the Sweepstakes, each Entrant agrees for Entrant and for Entrant’s heirs, executors, and administrators (a) to release and hold harmless Sweepstakes Entities and their respective officers, directors, and employees (collectively, “Released Parties”) from any liability, illness, injury, death, loss, litigation, or damage that may occur, directly or indirectly, whether caused by negligence or not, from such Entrant’s participation in the Sweepstakes and/or his/her acceptance, possession, use, or misuse of Prize or any portion thereof (including any travel related thereto if applicable); (b) to indemnify Released Parties from any and all liability resulting or arising from the Sweepstakes and to hereby acknowledge that Released Parties have neither made nor are in any manner responsible or liable for any warranty, representation, or guarantee, express or implied, in fact or in law, relative to Prize, including express warranties provided exclusively by Prize supplier that are sent along with Prize; (c) if selected as a Winner, to the posting of such Entrant’s first name, last initial, city and state on the Website and the use by Released Parties of such name, voice, image, and/or likeness for publicity, promotional, and advertising purposes in any and all media now or hereafter known, throughout the world in perpetuity, without additional compensation, notification, permission, or approval, and, upon request, to the giving of consent, in writing, to such use; and (d) to be bound by these Official Rules and to waive any right to claim any ambiguity or error therein or in the Sweepstakes itself, and to be bound by all decisions of the Sponsor, which are binding and final. Failure to comply with these conditions may result in disqualification from the Sweepstakes at Sponsor’s sole discretion.

ADDITIONAL TERMS:
Sponsor reserves the right to permanently disqualify from any promotion, including but not limited to this Sweepstakes, any person they believe has intentionally violated these Official Rules. Any attempt to deliberately damage the Sweepstakes or the operation thereof is unlawful and subject to legal action by Sponsor, who may seek damages to the fullest extent permitted by law. The failure of Sponsor to comply with any provision of these Official Rules due to an act of God, hurricane, war, fire, riot, earthquake, terrorism, act of public enemies, actions of governmental authorities outside of the control of Sponsor (excepting compliance with applicable codes and regulations), or other “force majeure” event will not be considered a breach of these Official Rules. Released Parties assume no responsibility for any injury or damage to Entrants’ or to any other person’s computer relating to or resulting from entering or downloading materials or software in connection with the Sweepstakes. Released Parties are not responsible for telecommunications, network, electronic, technical, or computer failures of any kind; for inaccurate transcription of entry information; for errors in any promotional or marketing materials or in these Official Rules; for any human or electronic error; or for Entries that are stolen, misdirected, garbled, delayed, lost, late, damaged, or returned. Sponsor reserves the right to cancel, modify, or suspend the Sweepstakes or any element thereof (including, without limitation, these Official Rules) without notice in any manner and for any reason (including, without limitation, in the event of any unanticipated occurrence that is not fully addressed in these Official Rules). In the event of cancellation, modification, or suspension, Sponsor reserves the right to select Winners in a random drawing from among all eligible, non-suspect Entries received prior to the time of the event warranting such cancellation, modification, or suspension. Notice of such cancellation, modification, or suspension will be posted on the Website. Sponsor may prohibit any Entrant or potential Entrant from participating in the Sweepstakes, if such Entrant or potential Entrant shows a disregard for these Official Rules; acts with an intent to annoy, abuse, threaten, or harass any other Entrant, Sponsor, Independent Administrator or Sponsor’s agents or representatives; or behaves in any other disruptive manner (as determined by Sponsor in its sole discretion).

DISPUTES:
Except where prohibited, all issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of any Entrant, Sponsor or Released Parties in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the state of New York, without giving effect to any choice of law or conflict of law rules (whether of the state of New York, or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the state of New York. AN ENTRANT AGREEs THAT If any controversy or claim arising out of or relating to THESE official RULES, the breach of any term hereof, or ENTRANT’S participation in connection with the SWEEPSTAKES cannot be settled through direct discussions, THE ENTRANT, SPONSOR OR RELEASED PARTIES shall endeavor first to settle the controversy or claim by mediation conducted in the CITY OF NEW YORK and administered by JAMS under its applicable rules. If THE controversy or claim is not otherwise resolved through direct discussions or mediation, ENTRANT, SPONSOR OR RELATED PARTIES agree that it shall THEN be resolved by FINAL AND binding arbitration conducted in the CITY OF NEW YORK, and administered by JAMS in accordance with its Streamlined Arbitration Rules and Procedures or subsequent versions thereof (the “JAMS Rules”, available at www.jamsadr.com, including, without limitation, the rule providing that each party shall pay pro rata its share of jams fees and expenses, and the rules providing for limited discovery and other exchange of information). The JAMS Rules for selection of an arbitrator shall be followed, except that the arbitrator shall be an arbitrator licensed to practice law in NEW YORK OR A RETIRED JUDGE. Notwithstanding the above requirements, if any party files suit in court, or files an arbitration before first seeking to mediate, in direct violation of this paragraph, the other party NEED NOT request mediation to enforce their right to compel arbitration. any mediation OR arbitration proceedings, testimony, OR discovery, along with any documents filed or otherwise submitted in the course of any such proceedings (and including the fact that the mediation or arbitration is even being conducted), shall be confidential and shall not be disclosed to any third party except to the mediators or arbitrators and their staff, the parties’ attorneys and their staff, and any experts retained by the parties. If any portion of the dispute resolution mechanism set forth HEREIN is found to be invalid, illegal or unenforceable for any reason, that portion shall be severed from the rest and shall not affect YOUR agreement to resolve all controversies and claims through mediation and arbitration.
